This document has not been approved by the Israeli Securities Authority and will be distributed only in a manner that does not constitute a public offering under Sections 15 and 15A of the Israeli Securities Law, 1968 (the "Securities Law"). Securities are offered and will be offered to a limited number of investors (35 investors or fewer in any 12-month period) selected by MThales Ltd. and/or up to 50 investors listed in the First Schedule to the Securities Law, as amended from time to time ("Institutional Investors").
